    When should we start preparing for an exit?
    Ideally, exit preparation is embedded in how you operate from the beginning. Clean corporate records, organized contracts, current compliance, and proper IP documentation make any exit process faster and more valuable. If an exit is on the horizon, start formal preparation at least 6 to 12 months before engaging buyers.
    What is sell-side due diligence?
    Sell-side DD is the process of reviewing your own company the way a buyer would. You identify issues, fix what can be fixed, and prepare explanations for what cannot be changed. This puts you in a stronger negotiating position and prevents surprises that reduce your purchase price.
    How do indemnities work in an exit transaction?
    Indemnities are promises by the seller to compensate the buyer if certain representations turn out to be untrue. They create post-close financial exposure for the seller. We negotiate indemnity caps, time limitations, basket thresholds, and carve-outs to minimize your exposure while keeping the deal commercially viable.
    Do you help with secondary share sales?
