Investment Support for Investors

Your capital deserves counsel that sits on your side of the table.

We advise investors, not just founders. Due diligence that actually uncovers risk. Transaction documentation that protects your position. Advisory that understands how you evaluate deals because we have been across that table hundreds of times.

    The Gap

Most investors rely on investee company’s lawyers for transaction documentation. That is like asking the opposing team's coach to review your game plan. The incentives are misaligned from the start.

Standard investor documentation often misses critical protections. Anti-dilution mechanics that do not actually protect you. Information rights that expire when you need them most. Exit provisions that sound good on paper but have no enforcement mechanism. These gaps do not surface until it is too late to fix them.

    Our Approach

We represent investors. That is not a sideline for us. It is a core practice area. We have advised 180+ investors directly, from first-time angels to institutional funds, and we understand what actually matters when capital is at risk.

Our investor advisory covers three phases: the diligence that tells you whether to invest, the documentation that protects you once you do, and the ongoing governance that ensures your rights are respected throughout the life of the investment.

    Investor Advisory Services

    Three practice areas.
    One investor lifecycle.

Due diligence, transaction documentation, and advisory. Each phase builds on the last to create comprehensive investor protection.

      Due Diligence for Investors

The Gap: Relying on the company's disclosures without independent verification.

Financial, legal, commercial, and governance assessment conducted independently. We review corporate records, contracts, litigation history, compliance status, IP ownership, and cap table integrity. Our DD reports flag what matters and quantify what it costs to fix.

      Transaction Documents

The Gap: Template investment docs that protect the drafter, not the investor.

Term sheets drafted from the investor's perspective. Subscription agreements with clear capital call mechanics. Shareholders agreements with governance provisions, exit protections, and anti-dilution that actually works. Side letters for bespoke terms. Every document stress-tested against downside scenarios.

      Investment Transaction Advisory

The Gap: Legal advice disconnected from commercial deal dynamics.

Deal structuring, valuation assessment, negotiation strategy, and closing coordination. We understand the commercial dynamics behind every legal provision because we have seen hundreds of these transactions play out. That context makes our advice genuinely useful at the negotiation table.

As a first-time founder raising a substantial round, the process felt overwhelming at times. What truly stood out was how personally involved Pooja ma’am was throughout.

No matter how many questions I had—even repetitive ones—she took the time to explain every detail with patience and clarity. That level of handholding gave me immense confidence.

The Startup Gig didn’t just help us close the round—they made the entire journey smooth and far less stressful.

    Mr. Aum Deshpande

We onboarded The Startup Gig compliance team after a frustrating experience with our previous partners, and the difference was evident from day one.

The handover was incredibly smooth, despite the volume and complexity of our transactions as a consumer electronics brand. Given the scale we operate at, even small errors can lead to serious GST and TDS implications—and we had already faced that earlier.

With The Startup Gig, everything feels structured, accurate, and finally under control. We’re now on the right track.

    Mr. Ninad Saraf

    Mr. Ninad Saraf

    Founder @ Ultramotiv

We had initially onboarded another firm for our funding compliance, but the experience was disappointing—they were expensive and assigned extremely junior associates to critical parts of our transaction, which made us feel like we weren’t a priority.

With The Startup Gig, the difference was immediate. The founder herself was actively involved, which gave us confidence that there was real oversight and no scope for error. Their secretarial team handled the compliance aspects efficiently and seamlessly.

For a startup, having an integrated legal and compliance team like this is invaluable.

In a sector like aerospace, where transactions are complex and stakes are high, speed usually comes at the cost of precision. The Startup Gig proved otherwise.

They helped us close our term sheet at lightning speed while ensuring every detail was thoroughly thought through. Their ability to move fast without compromising on quality made a real difference in maintaining deal momentum.

    Frequently Asked Questions

    Things worth knowing

Why do investors need separate legal counsel?
Because the company's lawyers represent the company's interests, not yours. In any negotiation, the party without independent counsel accepts terms designed by the other side. Separate counsel ensures your rights, protections, and economics are properly structured.
What does investor-side due diligence cover?
Our investor DD covers corporate structure and governance, contract review, litigation and dispute history, regulatory compliance, IP ownership, financial analysis, tax compliance, and cap table verification. We deliver a structured report with severity-mapped findings.
Do you advise both angel investors and institutional funds?
Yes. We advise the full spectrum from first-time angels to serial investors, family offices, and institutional venture funds. The complexity varies, but the principle is the same: your capital deserves independent counsel.
Can you help with co-investment structures?
Yes. We advise on co-investment vehicles, SPV structures, and syndicate arrangements. This includes documentation, governance, and compliance for pooled investment structures.
How do you handle conflicts if you also advise founders?
Simple. We never represent both sides of the same transaction. If we advise a founder on their company, we will not advise an investor investing in that same company. And vice versa. Transparency and conflict management are foundational to how we practice.

Your next investment deserves counsel that's been across this table before.
